Results of the Extraordinary General Meeting of Shareholders

We hereby report the results of the extraordinary General Meeting of Shareholders of JSC "Mogotex", held in person on June 25, 2026.

Thirteen shareholders participated in the voting, holding 112,436,592 votes, which represents 98.56% of the total number of voting shares. 

In accordance with the Company’s Charter, the Extraordinary General Meeting of Shareholders is declared duly constituted (has a quorum).

The agenda for the extraordinary general meeting of shareholders has been approved:

1. On the early termination of the powers of the vote-counting commission of "Mogotex" JSC.

2. Approval of the numerical and personal composition of the vote-counting commission of "Mogotex" JSC.

3. On the early termination of the powers of members of the Supervisory Board of JSC "Mogotex".

4. On the election of members of the Supervisory Board of JSC "Mogotex".

5. On the approval of amendments to the Charter of JSC "Mogotex".

6. On the approval of amendments to the Regulation on the Supervisory Board of JSC "Mogotex".

7. On the approval of amendments to the Regulation on the Directorate of JSC "Mogotex".

The numerical and personal composition of the vote-counting commission of JSC "Mogotex" has been approved, comprising 4 (four) persons as follows:

– Yana Alexandrovna Raevskaya, Lead Specialist for Youth Affairs in the Ideological Work Department of JSC "Mogotex" – Chairperson of the Commission;

– Elena Nikolaevna Kirilova, HR Specialist (Personnel Processing and Records Unit, HR Department, JSC "Mogotex") – Commission Secretary;               

– Natalia Vladimirovna Lazarenko, Category II Labor Organization and Standardization Engineer at the Finishing Factory Bureau of the Labor Organization and Wages Department (Economic Service) of JSC "Mogotex" – member of the commission;

– Alina Nikolaevna Ivanova, engineer at the repair and construction section of the Construction Department of JSC "Mogotex", is a member of the commission.

The meeting elected the following six-member Supervisory Board of the Company:

– M.G. Rubezh – Senior Lecturer, Department of State Economic Policy, Institute of Public Service, Academy of Public Administration under the President of the Republic of Belarus;

– S.V. Markovskaya – Head of the Human Resources Department, JSC "Mogotex";

– V.A. Udodov – Production Director, JSC "Mogotex";

– L.A. Veraksa – Lead Economist, Financial Resource Management Department, Economic Service, JSC "Mogotex";

– D.K. Shrubov – Head of the Property Disposal Department, Construction Directorate, JSC "Mogotex";

– A.A. Soldatenko – Head of the Garment Production Department, Commercial Division, JSC "Mogotex".

Amendments to the Charter of JSC "Mogotex", the Regulation on the Supervisory Board of JSC "Mogotex", and the Regulation on the Directorate of JSC "Mogotex" have been approved.

All agenda items have been considered, and favorable decisions have been adopted regarding them.
